Invalda INVL signs option agreements for almost 68 thousand company shares
Invalda INVL has signed new share option agreements with employees of its group companies for the future grant of almost 68 thousand company shares, which represents 0.55% of the share capital.
Under these option agreements, shares will be granted free of charge in 2029 to employees of Invalda INVL group companies: the teams at Invalda INVL, the separate INVL Asset Management companies in Lithuania and Latvia, and INVL Financial Advisors (which operates in Lithuania under the INVL Šeimos biuras brand). These share options are granted to employees as a variable part of their remuneration for the previous year.
“It is important for us to strengthen the culture of employee ownership and to enable them to participate in the organisation’s success. The share option programme is a proven way to motivate the team to achieve the best long-term results and growth in the company’s value,” says Alvydas Banys, Chairman of the Board of Invalda INVL.
The company has also concluded agreements for options under a long-term incentive programme, on the basis of which employees would be entitled to receive Invalda INVL shares free of charge in 2029 if the company’s net asset value exceeds EUR 28.90 per share on 31 December 2028. The number of shares that employees would be permitted to acquire would be calculated in accordance with the procedure established at the general meeting of shareholders.
If the company has declared dividends or distributed free cash-flow before the shares are granted, the number of shares granted will be recalculated by increasing the number of shares according to the formula approved at the Invalda INVL general meeting of shareholders in April 2026, in order to maintain the economic rationale of the agreement to enter into the share acquisition agreement.
Since 2016, when Invalda INVL began offering share options to its employees, the group’s employees have entered into share option agreements for more than 850 thousand shares.
